The future of the business structure managing, among other assets, the MTB World Cup has taken a significant turn in recent hours. A few months ago, it was announced that Netflix had closed its purchase, but now that seems like a dead letter and Paramount Skydance is emerging as the definitive buyer of Warner Bros. Discovery (WBD) after presenting an improved offer valued at around $111 billion, surpassing the previously accepted proposal from Netflix.

The operation is part of a negotiation process that began last December when WBD started to consider different offers. At that time, Netflix had managed to position itself at the forefront with a proposal focused on acquiring specific parts of the group. However, Paramount responded with a more ambitious offer, proposing to buy the entire company, including all its sports and production assets.

The new proposal raises the price to $31 per share and includes additional conditions that enhance its appeal to shareholders. Paramount would assume a penalty of $7 billion if the operation does not succeed and would cover the $2.8 billion that WBD had agreed to pay to Netflix in case the previously agreed merger was not completed. This move has been key to tipping the balance.

The CEO of WBD, David Zaslav, has publicly supported the new agreement, stating that it brings “extraordinary value” for shareholders. Meanwhile, Netflix confirmed that it would not match the $111 billion offer, considering that the operation was no longer financially attractive under those terms. Its co-CEOs, Ted Sarandos and Greg Peters, argued that their initial proposal had a clear regulatory pathway, but emphasized that it was not a strategically essential acquisition “at any price.”

Pending approval from the U.S. Department of Justice and European regulators, Paramount now faces no direct competition in the race to acquire WBD. If institutional approval comes in the next few months, the resulting group will also integrate the business related to the organization and promotion of the MTB World Cup events.

Although strategic adjustments could occur in the medium and long term, everything points to the current season not being affected by the change of ownership.
